LICENSE

Ironclad grants to you, Licensee, a limited, non-exclusive, non-sublicensable (except with Ironclad’s prior written consent), non-transferable license during the term of the Enterprise Services Agreement (or equivalent) between the parties to use and/or copy these application programming interface (API) specifications (“Software”) made available to Licensee by Ironclad, including any documentation, associated tools, and sample code. If Licensee has not entered into an Enterprise Services Agreement (or equivalent) with Ironclad, the term of this license shall be six (6) months or as otherwise specified by Ironclad in writing. Except as stated expressly herein, Licensee’s use of the Ironclad API through the Software must comply with Ironclad’s API Terms of Use (available at [https://legal.ironcladapp.com/api-terms-of-use](https://legal.ironcladapp.com/api-terms-of-use)) and the terms of the Enterprise Services Agreement (or equivalent) entered into by Licensee and Ironclad. Licensee will not and will ensure that its authorized users do not: (a) disclose or provide the Software or any copies to any person or entity other than Licensee’s employees without Ironclad’s prior written consent, (b) use the Software with or to develop an application that competes with products or services offered by Ironclad, or (c) use the Software for any illegal, unauthorized, or otherwise improper purposes.
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL IRONCLAD BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
